Some indentures classify some of these carve-outs as authorized indebtedness, while others completely remove the item from the definition of debt. Eligible debts may also include several specified dollar baskets, possibly including a basket of local currency debts issued by foreign affiliates (for working capital purposes) and, most importantly, a basket of debts issued under the company`s priority credit facilities. Indentures may also contain a basket of „hell or flood“ that allows, for some reason or no reason, to take on a limited amount of dollar debt. Issuers should carefully monitor this basket, as hell and flooding are more common than not.
